Corporate Governance in Financial Institutions: Experience, Challenges, and Best Practices
We invite representatives of financial companies, payment institutions, and the non-banking sector to an event dedicated to a topic that defines the quality of management and the stability of the financial market. The event is organized at the initiative of the SUP Non-Banking Financial Sector Development Committee.
The goal of the event is to create an open discussion platform for exchanging practical experience among representatives of financial companies, payment institutions, and experts in the field of corporate governance.

Today, corporate governance is not about formality, but about business manageability, client trust, compliance with regulatory requirements, and the financial company’s ability to withstand market turbulence. That is why we are creating an open environment where leaders, practitioners, and experts can discuss real cases, insights, and solutions.
During the event, we will discuss:

- Roles and responsibilities of governing bodies;
- Compliance, risks, internal control, and regulatory requirements;
- Practical cases of implementing effective policies and procedures;
- Tools that truly work in financial and payment institutions.

- Sergii Bulavin — Chairman of the Supervisory Board, member of the Supervisory Boards of MTI Group, CGPA, Generationplus. Corporate governance specialist with deep expertise in establishing and ensuring the effectiveness of Supervisory and Advisory Boards. Experienced top manager, holds an MBA, PhD in Commerce and Administration, Lean Six Sigma Green Belt (CLSSGB) Certificate, Lean Six Sigma Black Belt (LSSBB, exams passed), as well as Certificates in Corporate Governance (Certification programs: “Board Direction” from INSEAD & UCGA and “Corporate Director” from CGPA).
- Roman Kuzyuk — First Deputy General Director of the “Viysktorgservis” Concern (until September 2025). Top manager and corporate governance specialist, lawyer, banker, athlete, writer. Author of the corporate governance and strategy business methodology “Ultimate Beneficiary.”
- Vadym Romaniuk — Head of Banking and Financial Law Practice at PwC Legal in Ukraine. Head of the Currency Regulation and Financial Services Committee of the European Business Association. Member of the ACAMS Eurasia Chapter Board (an international educational organization in the field of financial monitoring). In 2020-2021, he was the Head of the Financial Services Licensing Department at the NBU. Specializes in licensing issues and compliance with NBU regulatory requirements.
- Petras Pinevičius — Chief Compliance Officer, NovaPay EU UAB. Specialist in compliance, governance, and risk management with over 17 years of legal and regulatory experience, including senior positions in licensed EMIs (Electronic Money Institutions) and AML (Anti-Money Laundering) functions at the supervisory level.
- Mykhailo Fedorenko — Financial Expert, Attorney. Has 20 years of experience in law and finance. Former Director of the Licensing and Supervision Department of the Non-Banking Financial Services Market at the National Bank of Ukraine. Key practices: financial and banking regulation, corporate governance, dispute resolution, taxation, criminal law and process, interaction with state/controlling bodies (GR).
Moderator: Roman Filonenko — Director of the Legal Department at Nova Pay. Lawyer with 18 years of experience in banking and financial law, capital markets, corporate law, and related fields. Over 8 years in C-level management positions. Works as a legal generalist and provides comprehensive legal support to the business, primarily as an in-house lawyer, which allows for deep immersion into the specifics of the company and its processes.
